Terms of Service for Lola Loops

General Terms of Service and Licenses & Rights of Use

  1. Scope and Agreement
    These Terms of Service ("Terms") apply to your use of the websites located at loloops.com (the "Website"). By accessing or using the Website and its content, including purchasing or downloading any digital products, you agree to be bound by these Terms. If you do not agree to these Terms, you are not authorized to use the Website.
  1. Conclusion of Contract
    The presentation of products on the Website does not constitute a binding offer to sell. A contract is only formed when you submit an order and we accept it, either by sending a confirmation or delivering the download link for the digital content.
  1. Prices
    All prices listed on the Website are exclusive of any applicable sales tax. No shipping fees apply, as all products are delivered digitally.
  1. Terms of Payment
    We accept credit cards, PayPal, and direct debit as payment methods. We reserve the right to limit available payment methods for specific orders or users. Payment must be received in full before access to digital products is provided.
  1. Delivery of Digital Products
    Upon successful payment, you will receive a download link for the digital product. The link will remain active for a limited time, which will be specified in your order confirmation. It is your responsibility to download the content within that time frame. Access may be revoked if you violate these Terms.
  1. Refund Policy
    All sales are final. As the product is delivered in a digital format, no refunds will be issued for any reason. In case of technical issues with the download link, please contact us within 14 days of purchase, and we will assist in resolving the issue.

  1. Licenses & Rights of Use
    By purchasing and using Lola Loops and other music samples (the "Samples"), you agree to the following terms regarding your rights and obligations:

    7.1 Co-Production & Songwriting Credit
    You agree to credit Lola Loops as co-producer and songwriter wherever applicable, both on digital platforms and physical releases.

    If you fail to provide credit on the official release date, you will have 14 days to correct this omission. After 14 days, Lola Loops reserves the right to request additional compensation, as well as renegotiation of terms.

    7.2 Royalty Split
    The royalty split between you and Lola Loops is dependent on your monthly listener count on streaming platforms:

    • Artists with Less Than 100,000 Monthly Listeners (Minor Releases):
      Royalty Split: 25% publishing, 100% royalty-free master clearance up to 1 million streams for Lola Loops.
    • Renegotiation After 1 Million Streams: Once the Composition reaches 1 million streams, you must contact us within 30 days to negotiate new terms. Failure to renegotiate may result in a suspension of your license.
    • Artists with More Than 100,000 Monthly Listeners:
      Direct Contact Required: Before using the Samples, you must obtain clearance from Lola Loops' management.
    • Major Label Placement: Direct Contact Required: If the Composition is placed with a major label artist, clearance must be obtained from Lola Loops' management.
    • Instrumental Compositions & Beat Sales: Royalty Split: 50/50 for both publishing and master royalties.

    7.3 Copyright and Use Limitations
    You do not acquire copyright ownership of the Samples. You are granted a non-exclusive, revocable license to use the Samples in your approved Composition under these terms.

    • Non-Music Use: You must contact us for permission if you wish to use the Samples in non-music projects, such as films, games, or applications.
    • Termination of License: Lola Loops reserves the right to terminate the license if you breach any part of this agreement. Upon termination, you must immediately cease all use of the Samples.

    7.6 Uploading to Streaming Platforms
    Do NOT add "Lola Loops" as artist, collaborator, or featured artist when uploading your Composition to streaming platforms unless otherwise agreed upon.

    7.7 Special Considerations
    China Usage: For use of the Samples in productions intended for the Chinese market, you must contact Lola Loops' management for specific terms.

  1. Intellectual Property
    All content on the Website, including Samples, logos, designs, and text, are owned by Lola Loops or licensed to 95 Entertainment LLC. You agree not to modify, distribute, or create derivative works from any content on the Website without express written permission.
  1. Limitation of Liability
    We are not responsible for any direct, indirect, incidental, consequential, or punitive damages arising from the use of the Website or the Samples, including any errors or interruptions in service. This limitation applies even if we have been advised of the possibility of such damages.
  1. Indemnification
    You agree to indemnify and hold harmless 95 Entertainment LLC, its officers, directors, employees, agents, and licensors from any claims, losses, expenses, damages, or costs (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Website or Samples.
  1. Dispute Resolution
    These Terms are governed by the laws of the State of Minas Gerais, Brazil. Any disputes arising from the use of the Website or these Terms will be resolved in the state or federal courts located in Belo Horizonte, Minas Gerais, Brazil.
  1. Amendments to the Terms
    We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting to the Website. It is your responsibility to review these Terms regularly. Continued use of the Website constitutes acceptance of any changes.
